If you're telnetting, use xstart rather than exceed executable.
If you want a desktop (e.g. CDE or gnome), go into xconfig and change
the
communications to xdmcp-query, and in configure, put in your IP, and
then
execute the exceed server.

It sounds like you're in passive mode (xconfig-->communications) and for

that you use xstart
